Nick Thompson’s practice focuses on commercial law, business transactions, corporate governance, estate planning, wealth succession, strategic business planning, and individual and business tax planning. He has experience dealing with professional practices, construction, manufacturing, distributing, retail, real estate, and non-profit organizations in addition to helping families and individuals with planning. He has organized hundreds of entities including LLCs, Partnerships, C-Corporations, S-Corporations, and Non-Profit Organizations.
Clients appreciate Nick’s proactive identification of the most beneficial tax treatment for each agreement, transaction and planning opportunity. Where necessary, he provides comprehensive tax analysis, and his familiarity with the Internal Revenue Code enables him to provide clients with cogent explanations of often complex tax issues.
Nick prepares documents to meet all individual and business needs including Operating Agreements, Partnership Agreements, Stock Purchase and Asset Purchase Agreements, Promissory Notes, Security Agreements, Corporate Bylaws and Minutes, Guaranty Agreements, Bills of Sale, Assignments, Deeds, Buy and Sell Agreements, and the array of Agreements covering Employment, Independent Contractor, Consulting, Non-Compete, Non-Disclosure, Deferred Compensation, and Stock Appreciation Rights. Nick also has a substantial practice in Estate Planning including Wills, Trusts, Powers of Attorney and related estate and wealth planning matters.
Prior to joining RWO, Nick worked at an established business and estate planning law firm in Denver and has years of experience with individual and business tax controversy cases with the Internal Revenue Service, Colorado Department of Revenue, and United States Tax Court.
